Article 1. Application of the general conditions of sale - Enforceability

 

These general conditions of sale (COS) constitute the basis of commercial negotiation and are systematically sent or given to each buyer to enable him to place an order.

The COS may be supplemented by stipulations of General Conditions of Purchase possibly established by the purchaser on the elements of the relation other than the price scale, the conditions of payment, in particular the penalties for delay, the discounts and rebates as well. as the special conditions of sale.

The fact that the seller does not avail himself at a given time of any one of these general conditions of sale cannot be interpreted as a waiver of the right to avail himself of any of these conditions at a later date.

 

Article 2. Orders

 

To be valid, the order must specify in particular the quantity, type and references of the products sold as well as the agreed price and terms of payment.

Orders are only final when they have been confirmed in writing [OR: only after payment of a deposit of <amount> euros].

The confirmation of the order entails for the buyer the acceptance of the T & Cs and the waiver of his own purchasing conditions.

In the event of a shortage, the supplier will respond to orders according to their order of arrival and to the extent of their availability.

 

Article 3. Modification of the order

 

Any modification or cancellation of an order requested by the buyer can only be taken into consideration if it is received in writing before the products are shipped.

 

Article 4. Price

 

The products are supplied at the prices in force at the time of placing the order, expressed in euros and taking into account the VAT applicable on the day of the order; any change in the rate may be reflected in the price of the products or services.

Unless otherwise agreed, prices are net, excluding transport, excluding taxes, based on the prices communicated to the buyer.

 

Article 5. Delivery

 

Delivery is made in accordance with the order either by direct delivery of the product to the purchaser, or by simple notice of availability, or by delivery to a shipper or a carrier in the premises (or warehouses) of the seller.

Delivery times are indicated as exactly as possible but are based on the vendor's supply and transport possibilities.

 

Article 6. Applicable law - Competent court

 

In the event of a dispute, whether relating to the interpretation or execution of these terms and conditions, exclusive jurisdiction is attributed to the courts of Paris, whether or not there is a plurality of defenders or a guarantee call. This competence also applies to summary proceedings.
